Welcome to OffsideApp ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our tournament management platform and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

OffsideApp is a cloud-based tournament management platform that enables users to:

• Create and manage sports tournaments
• Organize teams, players, and fixtures
• Track match results and statistics
• Share tournament information publicly
• Process payments for tournament creation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Registration

To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your account information remains accurate and up-to-date
• Notifying us immediately of any unauthorized access or security breach

3.2 Account Security

You are responsible for maintaining the security of your account. You agree not to:

• Share your account credentials with others
• Use another user's account without permission
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems or bots to access the Service

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, or offensive
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit viruses, malware, or other malicious code
• Collect or harvest information about other users without their consent
• Use the Service for any commercial purpose not explicitly permitted

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action.

5. Payment Terms

5.1 Tournament Creation Fees

Creating a tournament on OffsideApp requires payment of a fee. The fee amount is determined by the pricing plan you select. All fees are processed through Razorpay, our payment gateway partner.

5.2 Payment Processing

By making a payment, you agree to:

• Provide accurate payment information
• Authorize us to charge your payment method for the agreed amount
• Pay all applicable fees and taxes
• Comply with Razorpay's terms and conditions

5.3 Refunds

Refund policies are as follows:

• Refunds are processed on a case-by-case basis
• Refund requests must be submitted within 30 days of payment
• Refunds may be subject to processing fees
• No refunds will be issued for tournaments that have already been activated and used

5.4 Failed Payments

If a payment fails, your tournament will remain in a pending state until payment is successfully completed. You may retry payment at any time. We are not responsible for any consequences resulting from failed payments.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and trademarks, is owned by OffsideApp and protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you upload, post, or create through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, store, and display Your Content to provide the Service
• Make Your Content publicly available as part of public tournament pages
• Back up and archive Your Content

You represent and warrant that you have all necessary rights to grant this license and that Your Content does not violate any third-party rights.

7. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

8. Service Availability and Modifications

We strive to provide reliable and continuous service, but we do not guarantee that the Service will be:

• Available at all times or without interruption
• Free from errors, bugs, or security vulnerabilities
• Compatible with all devices or browsers

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any loss or damage resulting from such actions.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination:

• Your access to the Service will be immediately revoked
• Your account and associated data will be deleted in accordance with our data retention policy
• You will not be entitled to any refunds for unused portions of paid services

9.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

• You violate these Terms or our Acceptable Use Policy
• You engage in fraudulent, illegal, or harmful activities
• You fail to pay required fees
• We are required to do so by law

Upon termination, your right to use the Service will immediately cease, and we may delete your account and data.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS

We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR USE
• BUSINESS INTERRUPTION
• LOSS OF REPUTATION OR GOODWILL
• COSTS OF SUBSTITUTE SERVICES

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless OffsideApp, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) Your Content.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

• Good faith negotiation between the parties
• Mediation, if negotiation fails
• Binding arbitration in accordance with the Arbitration and Conciliation Act, 2015

The arbitration shall be conducted in English and the seat of arbitration shall be [City, State], India.

14. Changes to Terms

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OffsideApp regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
